About the role
Governance and Compliance
- Oversee governance functions, promoting best practices across the organization.
- Advise the Board, Committees, CEO, and Executive on governance, legal, and compliance issues.
- Develop and maintain governance frameworks, policies, and procedures.
- Provide legal advice on contracts and ensure compliance with regulatory requirements.
- Manage updates to Constitutions, Board Charters, and Committee Terms of Reference.
- Lead governance-related projects as directed by the Chair or CEO.
- Assist with property-related matters and contract management.
- Draft, review, and negotiate agreements, ensuring legal risks are managed.
- Support residential aged care transactions, including document preparation and customer queries.
- Conduct due diligence and recommend improvements to legal templates.
- Organize the Annual General Meeting and ensure timely distribution of the Annual Report.
- Support Board and Committee member recruitment, induction, and development.
- Assist with Board evaluations, succession planning, and maintain a skills matrix.
- Provide secretarial support and ensure compliance with meeting records.
- Ensure a safe working environment by complying with WHS policies and participating in mandatory training.
- Report and address workplace hazards, incidents, and injuries.
Essential Criteria
- Experience advising Boards, Committees, and Executives on governance and compliance.
- Current practicing certificate and relevant legal qualifications
- Strong knowledge of Corporate Governance and the ability to communicate effectively with senior staff.
- High attention to detail, organizational skills, and professionalism.
- Experience in the Community Services sector or a Not-for-Profit organization is advantageous.
- WHS knowledge suitable for the role.
